General Terms & Conditions

GvMotion

GvMotion is registered with the Dutch Chamber of Commerce.

1. Applicability

These Terms apply to all offers, agreements, and services between GvMotion and its clients, unless otherwise agreed in writing.

2. Agreements & Proposals

All offers are non-binding unless explicitly stated.

Agreements are valid only once confirmed in writing (including electronic confirmation) or upon the start of execution by GvMotion.

3. Execution of Services

GvMotion will perform assignments to the best of its professional ability.

We may engage third parties if necessary.

Delays caused by missing input from the client are not GvMotion's responsibility.

4. Client Obligations

Clients must provide all required information, access, and resources on time.

Incorrect or incomplete data provided by the client may affect outcomes, for which GvMotion is not liable.

5. Fees & Payment

Prices are exclusive of VAT and additional costs (travel, hosting, licenses, etc.), unless agreed otherwise.

Payment terms: 30 days from invoice date.

Late payments may incur statutory commercial interest and collection costs.

6. Changes & Additional Work

If the scope changes, additional time or costs may be invoiced.

Adjustments must be confirmed in writing.

7. Confidentiality & Privacy (GDPR)

Both parties will keep confidential all sensitive information.

GvMotion processes personal data in line with GDPR and applies appropriate security measures.

Data is only used to deliver agreed services or handle client requests.

8. Intellectual Property

Intellectual property of materials, methodologies, and frameworks remains with GvMotion unless agreed otherwise.

Clients may use deliverables solely for their own business purposes.

9. Liability

GvMotion is only liable for direct damages caused by gross negligence or intent.

Liability is limited to the amount invoiced for the relevant assignment.

GvMotion is not liable for indirect or consequential damages.

10. Force Majeure

Neither party is liable for delays or failures caused by circumstances beyond reasonable control (e.g., strikes, government measures, technical outages).

11. Termination

Agreements may be terminated with one month's written notice, unless otherwise agreed.

Either party may terminate immediately in cases of bankruptcy, suspension of payments, or liquidation.

12. Governing Law & Disputes

Dutch law applies.

The competent court of Amsterdam has exclusive jurisdiction.
